We are pleased to offer you access to the Dynaris website(s), any associated mobile applications (if applicable), and their related features and services (collectively, the “Online Services”) operated by Incoba LLC, doing business as Dynaris (“Dynaris,” “Company,” “we,” “our,” or “us”), conditioned on your acceptance without modification of these Terms of Use.
These Terms of Use are a legal contract between you and Dynaris regarding your use of the Online Services. If you use the Online Services on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” includes that entity (collectively, “Users”). Dynaris and Users may be referred to individually as a “Party” and collectively as the “Parties.”
When using the Online Services, you may be subject to additional posted guidelines, rules, or terms applicable to specific features or services (“Guidelines”). All Guidelines are incorporated by reference into these Terms.

Your privacy is important to Dynaris. Dynaris’ Privacy Policy is incorporated into these Terms by reference. Please review it carefully for information about how we collect, use, and disclose personal information.
Dynaris may change, modify, add, or remove portions of these Terms at any time in our sole discretion. If we modify the Terms, we will post the updated Terms through the Online Services and update the “Updated” date above.
If a modification materially changes your rights or obligations, we will make reasonable efforts to notify you (for example, by email if we have one on file or by posting a notice on the Online Services). Unless otherwise stated, updated Terms take effect five (5) days after posting. Your continued use of the Online Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Online Services.
Dynaris grants you a limited, non-exclusive, non-transferable, revocable permission to access and use the Online Services for your personal or internal business use, provided that you comply with these Terms.
Except as expressly permitted, you may not download, reproduce, redistribute, retransmit, publish, sell, resell, distribute, publicly display, or otherwise exploit any portion of the Online Services or content without Dynaris’ prior written authorization. You may not alter or modify any part of the Online Services except as reasonably necessary for its intended purpose.
The Online Services are controlled and offered by Dynaris from the United States.
The Online Services may include educational materials, product information, and clinical or prescribing resources. The Online Services are not medical advice and are not intended to diagnose, treat, cure, or prevent any disease. Always seek the advice of a qualified healthcare provider regarding any medical condition or treatment decisions.
Your use of the Online Services does not create a physician–patient relationship or any other medical professional relationship between you and Dynaris. Dynaris makes no warranties regarding the accuracy, completeness, timeliness, or usefulness of information provided through the Online Services.
Your mobile carrier or internet provider may charge fees for data usage, messaging, or access. You are solely responsible for any such fees.
If Dynaris offers mobile features that use location data, you may be able to enable or disable location services through your device settings. Location data may not always be accurate, and Dynaris disclaims warranties related to location-based services.
If you access any Dynaris app through Apple’s App Store, additional terms may apply between you and Apple. Dynaris—not Apple—is responsible for the app and its content.
The Online Services and all associated materials—including software, content, text, graphics, logos, designs, interfaces, documentation, and other elements (collectively, “Dynaris Materials”)—are owned by or licensed to Dynaris and are protected by intellectual property laws.
Except as expressly authorized, you may not copy, modify, create derivative works from, distribute, publicly display, publicly perform, republish, download, store, or transmit Dynaris Materials without our prior written consent. All rights not expressly granted are reserved.
Certain features may require creating an account. You agree to provide accurate and current information and to keep it updated. Dynaris may access, preserve, or disclose account information as required by law or as reasonably necessary to enforce these Terms, provide requested services, or protect the rights, property, or safety of Dynaris, Users, or the public.
You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. Notify Dynaris immediately if you believe your account is compromised.
If the Online Services allow you to purchase products, your purchase may be subject to additional terms, including shipping, returns, warranty, and payment processing terms (“Purchase Terms”). Additional purchase terms may be posted in our Instructions for Use manusl and are incorporated by reference.
The Online Services may contain links to third-party websites or services (“Reference Sites”). Dynaris does not control and is not responsible for Reference Sites or their content. Access and use of Reference Sites is at your own risk and subject to the third party’s terms and policies.
Dynaris may modify, suspend, or discontinue any portion of the Online Services at any time, with or without notice. Content may be out of date, and Dynaris is not obligated to update materials.
You agree not to:
Use the Online Services for unlawful purposes or in violation of these Terms
Copy, resell, or commercially exploit the Online Services except as expressly permitted
Access the Online Services if you do not meet eligibility requirements
Use bots, scrapers, spiders, or automated tools without our written permission
Interfere with or disrupt the Online Services, servers, or networks
Introduce malware or harmful code
Circumvent security features or access controls
Attempt unauthorized access to accounts or systems
Reverse engineer, decompile, or disassemble any part of the Online Services except as allowed by law
Impersonate any person or misrepresent your affiliation
Collect or post private information of others without permission
Use Dynaris trademarks, logos, or branding without written consent
Engage in abusive behavior toward support personnel
Dynaris may investigate suspected violations and take any action permitted by law and these Terms.
If you submit suggestions, ideas, or feedback (“Feedback”), you agree Dynaris may use it without restriction or compensation, and you grant Dynaris a perpetual, irrevocable, worldwide, royalty-free right to use, modify, and incorporate Feedback into our products and services.
Dynaris may suspend or terminate your access to the Online Services or your account at any time, with or without notice, for any reason, including suspected violations of these Terms. Dynaris is not liable to you or any third party for termination.
You agree to indemnify and hold harmless Dynaris and its affiliates, officers, directors, employees, agents, and representatives from any claims, damages, liabilities, costs, and expenses (including reasonable attorney’s fees) arising out of or related to: (i) your use or misuse of the Online Services; (ii) your violation of these Terms; (iii) your violation of any rights of another party; or (iv) unauthorized use of your account not caused by Dynaris.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE ONLINE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” DYNARIS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
DYNARIS DOES NOT WARRANT THAT THE ONLINE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DYNARIS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE ONLINE SERVICES.
TO THE EXTENT DYNARIS IS FOUND LIABLE FOR ANY CLAIM, DYNARIS’ TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO DYNARIS FOR THE ONLINE SERVICES (IF ANY) IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
If you believe content on the Online Services infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our Copyright Agent with the information required by 17 U.S.C. §512(c)(3).

Dynaris will respond to valid DMCA notices by removing or disabling access to the allegedly infringing material, and may process counter-notifications as permitted by law.
The Online Services may contain forward-looking statements subject to risks and uncertainties. Actual results may differ materially. Dynaris undertakes no obligation to update forward-looking statements except as required by law. The Online Services are not an offer to sell securities or a solicitation to buy securities.
Dynaris may provide you with notices by email, regular mail, or postings on the Online Services. Notice by email will be sent to the email address associated with your account (if any). It is your responsibility to keep your contact information current.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
You agree that any action at law or in equity arising out of or relating to these Terms or the Online Services shall be filed only in the state or federal courts located in St. Louis County, Missouri, and you consent and submit to the personal and exclusive jurisdiction and venue of such courts.
A provision of these Terms may be waived only by a written instrument executed by the Party entitled to the benefit of such provision. The failure of Dynaris to exercise or enforce any right or provision will not constitute a waiver.
If any provision of these Terms is unlawful, void, or unenforceable, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
You may not transfer or assign these Terms or any rights granted hereunder without Dynaris’ prior written consent. Dynaris may assign these Terms without restriction. Any attempted assignment in violation of this section is void.
No joint venture, partnership, employment, or agency relationship exists between you and Dynaris as a result of these Terms or your use of the Online Services.
Headings are for convenience only and do not affect interpretation.
These Terms (together with any referenced policies, including the Privacy Policy and any posted Guidelines) constitute the entire agreement between you and Dynaris regarding the Online Services and supersede prior agreements on that subject.
YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE ONLINE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
